~  SLACMA BY-LAWS ~

St Louis Area City Management Association

 

NAME

 

This organization shall be known as the St. Louis Area City Management Association (SLACMA).

 

MISSION AND GOALS

 

SLACMA is the professional association for appointed local government administrators located within the St. Louis region. The association was founded in the mid-1970’s by city managers and administrators in St. Louis County with the primary mission to enhance and expand the professional competence of local government administrators in the metropolitan area in order to preserve democratic government, provide high quality municipal services to St. Louis area citizens and to promote professional management of local government.

 

The association has the following goals:

 

  • To provide networking opportunities for local government professionals to provide professional and personal support to the members and their families;
  • To provide a forum for frank and confidential discussion of public policy and local government issues from a professional perspective;
  • To provide a mechanism for professional development and ongoing educational opportunities for local government professionals;
  • To provide networking, mentoring and educational opportunities for graduate students and interns interested in pursuing opportunities in local government management;
  • To encourage intergovernmental cooperation between local governments to insure efficient and effective services to the general public;
  • To be a voice for encouragement of professional management in local government in the region.

 

MEMBERSHIP

 

Membership in the organization shall be limited to local government professionals residing or working within St, Louis County or any county adjoining St. Louis City or County. Elected officials are not eligible for membership regardless of their other occupations or professions.

 

The St. Louis Area City Management Association has four (4) categories of membership: Full Member, Associate Member, Life Member and Social Member.

 

FULL MEMBERSHIP

 

Any duly appointed chief administrative officer (City Manager, City Administrator or similar position) or assistant thereto of any municipality located within the St. Louis region whose primary duties relate to the management of a local government located within the region.

 

Any duly appointed chief administrative officer (County Manager or Administrator) of any county located within the St. Louis Region.

 

Only full members shall have voting privileges and are eligible to hold office in the association.

 

 

ASSOCIATE MEMBERSHIP

 

The Executive Directors of the St. Louis County Municipal League and the East West Gateway Council of Governments are entitled to membership as an associate member of the association without other approvals customarily required to attain associate member status.

 

Other persons by virtue of their position in public management of a local unit of government or in an affiliated profession may be granted associate member status upon nomination by two full members of the association, endorsement by a majority of the Board of Directors and approval by majority vote of the members present.

 

Memberships granted to associate members are individual memberships and do not inure to their title or position. Associate memberships shall expire when an associate member leaves employment from their position in public management for which associate membership was granted. Nothing here shall preclude an associate member from becoming eliglbe to reapply for associate member status based on their new position or profession.

 

LIFE MEMBERSHIP

 

Life Membership may be bestowed on a prior member of ICMA. MCMA  or SLACMA residing in the St. Louis region who has retired from active service with a municipality but who, in the opinion of the Board of Directors, has made an outstanding contribution to the development of the profession. Benefits of life membership include waiver of dues and complimentary registration to any seminars sponsored by the association.

 

SOCIAL MEMBERSHIP

 

The association shall maintain a list of social members who shall be eligible to participate in any social activities sponsored by the association. Social members are former members of the association who are no longer eligible for full or associate member status due to retirement or a career change.

 

.RIGHTS AND RESPONSIBILITIES OF MEMBERS

 

Membership in SLACMA carries with it certain rights and responsibilities including:

 

  • An obligation to honor the Code of Ethics established by ICMA
  • Members are encouraged to participate in other professional associations for local government managers including ICMA and their state association
  • An obligation to participate in all work efforts of the association including the all surveys sponsored by the organization
  • To maintain the confidentiality of any discussions or opinions offered by members during the course of discussion or debate of any issues before the membership
  • Membership in the association shall not be used as a mechanism to promote business opportunities
  • All full and associate members shall be included on all mailing lists, computerized e-mail directories and shall have access to any work product of the organization.
  • Members in transition shall continue to maintain their membership in SLACMA provided that they are actively pursuing employment in the field

 

OFFICERS AND BOARD OF DIRECTORS

 

The Board of Directors of SLACMA shall be composed of the current officers and the most immediate past president of the association who remains a member of the association.  The Board of Directors shall have all of the powers and duties necessary to operate the association including:

 

  • Review and approval of all membership applications
  • Prepare and submit an annual budget to the membership
  • Advise the membership of items of importance to the association
  • Enter into contracts on behalf of the association

 

PRESIDENT

 

  • Schedule the monthly meetings of the association
  • Chair all meetings of the association
  • Authorize all expenditures
  • Appoint Committees
  • Represent the association to other organizations

 

VICE PRESIDENT

 

  • Act in the absence of the President
  • Arrange programs and speakers for monthly meetings
  • Serve as the associations representative to joint work efforts and programs involving area universities including the Seminar in City Management
  • Perform other duties as assigned by the President

 

TREASURER

  • Serve as chairman of the Salary Survey Committee
  • Prepare statements and collect dues and other fees.
  • Maintain records of receipts and expenditures and providing the membership with a written financial report no less often than quarterly
  • Prepare statements and collect dues and other fees

 

SECRETARY

 

  • Notify the membership of meetings,  educational seminars and social events
  • Maintain the associations records on membership
  • Conduct Elections as required by these by-laws

 

Nothing herein shall preclude the association from contracting out the functions typically assigned to the secretary or treasurer.

 

ELECTIONS

 

The membership, by a majority vote of those full members present, shall elect at its regular meeting during the month of May the officers of the association.  Their terms shall be for a period of one (1) year commencing on July 1st.

 

A Nominating Committee shall be appointed by the President and said committee shall present its written report to include one (1) or more nominees per office, to the membership at least two (2) weeks prior to the May election date. Nominations from the floor will be accepted on the election date.

 

A vacancy in the office of the President, Vice-President or Treasurer shall be filled to complete a remaining term by advancing each officer to the next office. In the event of a vacancy in the office of Secretary, a nominating committee shall be appointed and such committee will present its report to the membership at a regular meeting to be held within sixty (60) days of the vacancy.

MEETINGS

 

The association shall meet on a monthly basis at a time and place determined by the Board of Directors.

 

The right to attend and participate in regular meetings shall be limited to full, associate and life members of the organization.  Members shall not send “representatives” to the association meetings.

 

Social members and guests shall not attend the regular meetings. Provided, however, nothing shall preclude a member from bringing as a guest an intern or visiting manager or administrator from another area.

 

DUES

 

Membership dues for all categories of membership shall be established by Board of Directors and approved by the majority vote of the members present at the meeting in which the annual budget is presented for consideration.  No dues shall be charged for Life Members.

 

Dues, lunch fees and seminar fees for members in transition may be waived upon a finding by the Executive Board that the member is continuing to actively seek employment in the profession.

 

AMENDMENT OF BY LAWS

 

These bylaws and all amendments thereto shall be submitted in written form to the membership no less than thirty (30) days prior to the regular meeting at which they are to be voted upon. Amendments shall require a majority vote of the full members of the association present and voting at such meeting. Provided, however, that any full member who is unable to attend the meeting may vote by written proxy delivered to the Secretary of the association prior to the date and time of the meeting upon which the amendment is subject to a vote.

 

            THESE BY LAWS ADOPTED BY A MAJORITY VOTE OF THE MEMBERS PRESENT AT A REGULAR MEETING OF THE ST. LOUIS AREA CITY MANAGEMENT ASSOCAITION HELD ON THE 13TH DAY OF MAY, 2004..
